Please read these Terms and Conditions carefully before confirming your demand and submitting payment on the Milyo web application. By completing a payment transfer, you explicitly agree to be bound by the operational rules, logic, and limitations detailed below.
1. Nature of the Collective Order ("Milyo Group Purchase")
Demand Aggregation: Milyo is a community-led social commerce platform. We do not act as an independent retail vendor, warehouse, or manufacturer. We aggregate hyper-local consumer demand to place a single, consolidated wholesale order directly with The Whole Truth Foods Co. (TWT) to secure volume-based pricing.
Milestone Threshold: This specific Raid is active contingent upon the community achieving a collective order volume milestone of 50kg.
Deal Finalisation Timeline: If the 50kg milestone is not met within the active deal window, Milyo reserves the right to either:
Extend the deal window by a maximum of 72 hours to aggregate the remaining demand.
Cancel the Raid entirely and return 100% of your transferred capital to your source account within 3 business days.
2. Freshness Clearance & Dynamic Shelf-Life Disclaimer
Liquidation Batches: You explicitly acknowledge that the products offered in this Group Purchase are part of a specialised Warehouse Freshness Clearance/Liquidation program provided by TWT. In exchange for significant, below-market pricing, items possess varying levels of remaining shelf life.
Shelf-Life Disclosures: The remaining shelf life of each specific batch is clearly disclosed in a text line under the product title on the order page.
The 7-Day Transit Buffer: To ensure absolute transparency, Milyo automatically calculates the "Usable Shelf Life" shown on screen by subtracting a 7-day logistics buffer from the actual warehouse expiry date. This accounts for transit, sorting, and last-mile pickup windows.
Consumer Responsibility: It is your responsibility to select a batch matching your personal consumption rate. By ordering a short-dated item (e.g., a batch with <15% shelf life remaining), you confirm that you intend to consume the product within the disclosed timeline. Short remaining shelf life shall not constitute a ground for an order rejection or refund request.
3. "Old MRP" vs. "New MRP" Allocation Queue (FCFS)
Global Supply Chain Impact: You acknowledge that TWT has recently adjusted their retail Max Retail Prices (MRPs) due to global supply chain and raw material cost shifts (e.g., global cocoa/whey market fluctuations related to the Iran conflict).
The Mixed Warehouse Allocation Rule: TWT's warehouse contains identical SKUs under both the Old (Lower) MRP and the New (Higher) MRP. TWT has committed to liquidating the Old MRP stock first.
Timestamp Priority Queue (FCFS): Milyo operates a strict First-Come, First-Serve priority queue based on the exact timestamp of your verified payment.
Price Adjustment Clause: The app displays your projected pricing based on live estimation data. However, the definitive stock allocation can only be locked with the warehouse once the total community volume is closed. If the Old MRP stock is entirely depleted by the time your position in the queue is processed, your order will automatically be fulfilled from the New MRP stock at the corresponding shelf-life discount percentage. Any net difference in total pricing will be adjusted via platform credits or settled prior to hub pickup.
4. Pricing, Milyo Success Fee, and Manual Payment Verification
The 5% Success Fee: Milyo does not charge a flat product retail markup. Instead, we charge a transparent 5% Platform Success Fee calculated strictly on your gross savings.
Formula: Platform Fee = (Standard Retail New MRP - Milyo Exclusive Price) * 0.05
Direct UPI Transfer Protocol: To keep transactions free from payment gateway processing fees, payments are collected via direct UPI transfer using an on-screen generated QR code embedded with your exact cart total.
Manual UTR Cross-Referencing: You are required to manually enter your 12-digit UPI Transaction ID (UTR) and upload a clear screenshot of the successful payment receipt on the checkout page.
Entering UTR is optional, but please upload payment screenshot to confirm your order.
Verification Window: Your order status will remain "Pending Verification" until the Milyo administrative team manually verifies the transaction against our incoming bank summaries. Orders with invalid, mismatched, or missing UTR numbers/screenshots will be purged from the priority queue after 12 hours.
5. Hub-and-Spoke Logistics & Last-Mile Delivery
The 5-Hub Delivery Constraint: To maintain wholesale viability, TWT will deliver the bulk shipment to a maximum of two drop-off locations (Hubs) in Bengaluru.
Hub 1 (Confirmed): Indiranagar.
Hub 2,3,4,5 (Heuristic Optimisation): The precise location of Hub 2 is not decided by public vote, but by Milyo’s Logistics Spread Optimisation Logic. It will be automatically placed in the neighbourhood cluster (e.g., HSR Layout, Whitefield) showing the highest density of orders outside of a 5km shadow radius of Hub 1, ensuring the maximum number of people achieve the lowest possible last-mile delivery cost.
Pickup Terms: Once the wholesale shipment lands at the designated hubs (estimated ~48 hours after order placement by TWT), you have two choices:
Self-Pickup: Visit the selected hub during designated community hours posted in the WhatsApp group.
Third-Party Parcel (Porter/Rapido/Dunzo): You must book your own delivery agent at your own expense. The pricing tool shown at checkout provides an estimation only based on standard base coordinates. Live price variations, surge charges, or traffic delays at the time of booking are entirely your responsibility and must be paid directly to the delivery rider.
6. Return, Refund, and Damaged Goods Policy
All Sales Are Final: Due to the deeply discounted clearance nature of short-dated food and wellness supplements, no returns, exchanges, or refunds will be entertained for any reason including, but not limited to, changes in personal preference, taste profile variations, or unread shelf-life text.
The Strict Tamper Exception: A return or replacement will only be considered if the outer manufacturing seal or packaging of the individual product is physically ruptured, punctured, or tampered with prior to you taking physical custody of the item.
Mandatory Unboxing Proof: To claim a replacement or refund under the Tamper Exception:
If using a third-party Porter/Rapido, you must record a continuous, unedited unboxing video showing the parcel being opened from its delivery state, clearly showing the damaged seal.
If picking up in person, the item must be inspected and flagged to the Milyo Hub Volunteer on-site at the time of pickup. Once an item leaves the physical boundaries of the hub, it is deemed accepted in perfect structural condition.
7. Communication & Community Alignment
Mandatory Group Status: All operational updates, warehouse counts, old/new stock splits, final hub coordinates, and pickup schedules will be broadcast exclusively inside the dedicated Milyo x The Whole Truth WhatsApp Group. It is mandatory for the user to join this group via the link provided post-checkout. Milyo is not liable for missed pickup windows due to a user leaving or silencing the communication channel.
